Client lists and consent. Where we operate messaging campaigns on your behalf using your customer data, you represent and warrant that you hold the necessary consent for those communications. You remain the sender of record for campaigns conducted under your brand and business identity, and you are responsible for the lawfulness of the underlying consent.

5. Payment Terms

Fees, payment schedules, and billing terms are set out in your written agreement. Unless otherwise stated: setup fees are due before work begins, recurring fees are billed monthly in advance and charged automatically to the payment method on file, and fees are non-refundable except as expressly provided in your agreement. Failed or declined payments may result in suspension of services after notice.

6. Cancellation

Monthly services may be cancelled with the notice period specified in your agreement. Cancellation does not entitle you to a refund of fees already paid or of setup fees. Upon cancellation, hosted services and automations we operate on your behalf will be discontinued.

7. Intellectual Property

Site content, including text, design, graphics, and code, is owned by Mayflower AI LLC and may not be copied or reused without permission. Ownership of client deliverables is governed by your written agreement. You retain ownership of your own business data, customer lists, logos, and brand materials.

8. Third-Party Platforms

Our services rely on third-party platforms including telephony providers, CRM software, advertising platforms, and AI model providers. We are not responsible for outages, pricing changes, policy changes, or account actions taken by those platforms, though we will work in good faith to restore service.

9. Disclaimers

Services are provided "as is" and "as available." We do not guarantee any specific number of leads, appointments, sales, or revenue unless a written performance guarantee is expressly included in your agreement. Business results depend on many factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, Mayflower AI LLC is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost business. Our total aggregate liability arising out of or relating to the services will not exceed the total fees you paid to us in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Mayflower AI LLC from any claims, damages, penalties, or costs arising from your breach of these Terms, your misuse of the services, or the content or legal basis of any contact list or communication you direct us to send on your behalf.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in San Diego, CA.

13. Changes to These Terms
